AGREEMENT TO TERMS

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you” or “Client”) and Rock Global Logistics Limited ("we," "us," or "our"), concerning your access to and use of our website, platform, and any other media form, media channel, or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”), as well as the logistics, freight forwarding, and supply chain services we provide.

You agree that by accessing the Site, requesting a quote, or using our services, you have read, understood, and agree to be bound by all of these Terms and Conditions.

IF YOU DO NOT AGREE WITH ALL OF THESE TERMS AND CONDITIONS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND OUR SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws. All data and documentation you provide for your shipments remain your property.

You are granted a limited, non-exclusive, non-sublicensable license to access and use the Site for your internal business purposes related to engaging our services.

USER REPRESENTATIONS

By using the Site and our services, you represent and warrant that:
(1) you have the legal capacity and authority to enter into this agreement on your own behalf or on behalf of the entity you represent, and you agree to comply with these Terms and Conditions;
(2) you will not access the Site through automated or non-human means, such as a bot, script, or spider;
(3) you will not use the Site for any illegal or unauthorized purpose;
(4) your use of the Site will not violate any applicable law or regulation;
(5) all information you provide to us, including cargo descriptions, weights, and values, is accurate and complete.

PROHIBITED ACTIVITIES

You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

As a user of the Site, you agree not to:

• Systematically retrieve data or other content from the Site to create a collection, compilation, database, or directory without our written permission.
• Make any unauthorized use of the Site, including collecting usernames and/or email addresses of users by electronic or other means.
• Circumvent, disable, or otherwise interfere with security-related features of the Site.
• Engage in unauthorized framing of or linking to the Site.
• Trick, defraud, or mislead us and other users.
• Use any information obtained from the Site in order to harass, abuse, or harm another person.
• Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Site.

SERVICES AND QUOTATIONS

We provide logistics and freight forwarding services, including but not limited to air freight, ocean freight, trucking, warehousing, and customs brokerage.

Any quotations provided are estimates based on information available at the time and are subject to change. Quotations are valid for the period stated and may be withdrawn or amended due to changes in carrier rates, fuel surcharges, currency exchange rates, or other factors beyond our control.

We reserve the right to refuse any shipment for any reason, including but not limited to illegal, hazardous, or improperly packaged goods.

FREIGHT AND LIABILITY

All services are subject to the terms and conditions of the actual carriers, warehousemen, and other parties utilized by us, which may limit their liability. Our liability is governed by the terms of our service agreement and applicable international conventions (e.g., Hague-Visby Rules, Warsaw Convention) and national laws.

Unless otherwise agreed in writing, our liability for any loss, damage, or delay is limited in accordance with the standard trading conditions of the local freight forwarding association or other applicable rules. We strongly advise you to obtain adequate insurance coverage for your shipments.

PAYMENT

You agree to pay all charges for services rendered in accordance with our invoice. Payment terms are net [e.g., 30 days] from the date of invoice. You authorize us to charge your chosen payment method for all amounts due.

We reserve the right to correct any errors in pricing, even if we have already requested or received payment. Overdue accounts may be subject to interest charges and may result in a cessation of services or a lien being placed on your goods.

GOVERNING LAW

These Terms and Conditions and your use of the Site and our services are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. Any legal action shall be brought in the courts located in England and Wales.

DISCLAIMER

THE SITE AND THE INFORMATION THEREON ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SITE AND OUR SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND YOUR USE THEREOF, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

LIMITATION OF LIABILITY

IN NO EVENT WILL WE, OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, OR DATA LOSS, ARISING FROM YOUR USE OF THE SITE OR OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR AGGREGATE LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US FOR THE SERVICES IN THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your use of the Site; (2) your breach of these Terms and Conditions; (3) any breach of your representations and warranties set forth in these Terms and Conditions; (4) the nature of your cargo or any claim arising from the carriage, storage, or handling of your goods, including claims for customs duties, fines, or penalties.

USER DATA

We will maintain certain data that you transmit to the Site for the purpose of managing the performance of the Site and providing our services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Site. You are responsible for ensuring the accuracy of all shipment instructions and documentation.

ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

You consent to receive electronic communications and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Site, satisfy any legal requirement that such communication be in writing.
